These Terms of Service ("Terms") govern your access to and use of the website operated by Luminary Crest Holdings LLC ("Luminary Crest," "we," "us," or "our") and, together with any signed service agreement, the marketing services we provide. By using this website or engaging our services, you agree to these Terms.

1. Identification and Acceptance

The website luminarycrest.com is operated by Luminary Crest Holdings LLC, a limited liability company organized under the laws of the State of Delaware, United States, with offices at 501 Silverside Road, Suite #105 - 5511, Wilmington, DE 19809. By accessing this website or entering into a service agreement with us, you confirm that you have read, understood and accepted these Terms. If you do not agree, do not use the website or our services.

2. Definitions

  • Website: luminarycrest.com and all pages and content published on it.
  • Services: the marketing services described in section 3 and detailed in a service agreement.
  • Client: the business entity that engages Luminary Crest to deliver Services.
  • Service Agreement: the individual proposal, statement of work or contract that defines deliverables, timelines and fees.
  • Ad Spend: amounts paid to advertising platforms to run campaigns, separate from our fees.
  • Platforms: third-party advertising, analytics and automation providers such as Google and Meta.

3. Description of Services

Luminary Crest provides performance marketing services for businesses, including:

  • paid media strategy and campaign management across search, social and display;
  • lead generation campaigns and lead flow design;
  • landing page and conversion tracking implementation;
  • marketing automation and CRM workflow setup;
  • performance analysis and campaign reporting.

Specific deliverables, service levels, timelines and fees are defined in the applicable Service Agreement. Where these Terms and a signed Service Agreement conflict, the Service Agreement prevails for that engagement.

4. Eligibility and Legal Capacity

The Website and Services are intended for business use. By using them you represent that you are at least 18 years old and that, where you act on behalf of a company, you have authority to bind that company to these Terms and to any Service Agreement.

5. Prohibited Conduct

When using the Website or receiving Services, you agree not to:

  • attempt to gain unauthorized access to the Website, its systems or related accounts;
  • interfere with or disrupt the operation, integrity or performance of the Website;
  • scrape, crawl, mine or copy content in bulk without written permission;
  • upload or transmit malicious code, or attempt to probe or test vulnerabilities;
  • use the Website or Services for unlawful, deceptive, defamatory or infringing purposes;
  • require or request advertising content that violates applicable law or Platform policies;
  • misrepresent your identity, authority or affiliation.

6. Client-Supplied Content and Materials

You retain ownership of the brands, creative assets, product information, data and other materials you provide. You grant Luminary Crest a non-exclusive, royalty-free license to use, reproduce, adapt and display those materials solely to perform the Services, including uploading them to Platforms on your behalf.

You warrant that you hold all necessary rights to the materials you supply, that they are accurate and not misleading, and that their use complies with applicable law, advertising regulations and Platform policies. We may decline to publish material we reasonably believe breaches these requirements.

7. Intellectual Property

All content on this Website, including text, graphics, logos, layout and code, is the property of Luminary Crest Holdings LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify or create derivative works from it without our prior written permission. Methodologies, templates, frameworks and tools developed by us and used to deliver the Services remain our property; deliverables produced specifically for a Client are licensed or assigned as set out in the Service Agreement.

8. Third-Party Platforms and Links

Our Services depend on third-party Platforms, including Google Ads, Google Analytics, Google Tag Manager, Meta Ads and other advertising, analytics and automation providers. Your use of those Platforms is governed by their own terms and policies, which you are responsible for accepting and complying with. Luminary Crest is not responsible for outages, pricing or policy changes, algorithm changes, ad disapprovals, account restrictions or suspensions, or data loss caused by those Platforms. The Website may link to third-party sites, which we do not control or endorse.

9. Privacy and Data Protection

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. In a Client engagement, the Client is generally the controller of end-user and lead data collected through its campaigns and accounts, and Luminary Crest acts as processor, following the Client's documented instructions. Each party is responsible for maintaining the privacy notices, consent mechanisms and legal bases required for its own role.

10. Fees, Ad Spend and Billing

  • Service fees, billing frequency and payment terms are defined in the Service Agreement.
  • Unless expressly agreed otherwise, Ad Spend is billed by the Platform directly to the Client using the Client's own payment method and is not included in our fees.
  • Fees are exclusive of applicable taxes, which are the Client's responsibility.
  • Invoices are due within the period stated in the Service Agreement; overdue amounts may accrue interest at the maximum rate permitted by law.
  • We may suspend Services while undisputed amounts remain overdue, after reasonable notice.

11. No Guarantee of Specific Results

We apply professional standards and industry best practices, but advertising performance depends on many factors outside our control, including market conditions, competitive dynamics, your offer and pricing, creative inputs, sales follow-up, website performance and Platform behavior. Luminary Crest does not guarantee any specific advertising result, impression or click volume, lead quantity or quality, sales, revenue, cost per acquisition or return on ad spend. Any figures presented in proposals, case examples or forecasts are illustrative and not a promise of outcome.

12. Disclaimer of Warranties

To the maximum extent permitted by law, the Website and Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Website will be uninterrupted, error-free or secure, or that content is complete or current.

13. Limitation of Liability

To the maximum extent permitted by law, Luminary Crest and its members, officers, employees and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or related to the Website or the Services, even if advised of the possibility of such damages. Our aggregate liability for all claims arising in connection with the Website or the Services shall not exceed the total fees paid to us by the Client in the three (3) months immediately preceding the event giving rise to the claim. Ad Spend paid to Platforms is excluded from this calculation. Nothing in these Terms limits liability that cannot lawfully be limited, including for fraud or willful misconduct.

14. Indemnification

You agree to indemnify, defend and hold harmless Luminary Crest and its members, officers, employees and contractors from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising from your breach of these Terms, your misuse of the Website or Services, the materials you supply, or your violation of applicable law, third-party rights or Platform policies.

15. Suspension and Termination

We may suspend or terminate access to the Website at any time, without notice, where we reasonably believe these Terms have been breached or where necessary to protect our systems or third parties. Termination of a Service Agreement is governed by that agreement, including any notice period and fees for work performed. On termination, we will provide a reasonable handover of campaign assets held in Client-owned accounts. Provisions that by their nature should survive — including sections 7, 12, 13, 14, 17 and 18 — survive termination.

16. Changes to These Terms

We may update these Terms from time to time. The current version is always published on this page with an updated effective date. Continued use of the Website or Services after changes take effect constitutes acceptance of the revised Terms. Changes do not retroactively alter a signed Service Agreement.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. The state and federal courts located in New Castle County, Delaware shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and both parties consent to that jurisdiction and venue.

18. General Provisions

  • Severability: if any provision is held invalid or unenforceable, the remaining provisions remain in full effect.
  • No waiver: failure to enforce a provision is not a waiver of the right to enforce it later.
  • Assignment: you may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or reorganization.
  • Entire agreement: these Terms, together with the Privacy Policy and any Service Agreement, constitute the entire agreement between the parties on this subject.
  • Force majeure: neither party is liable for delay or failure caused by events beyond its reasonable control.
  • Independent contractors: nothing in these Terms creates a partnership, joint venture, agency or employment relationship.
  • Notices: notices may be sent to the email addresses on record for each party.
